SUGGESTED FEBRUARY 2007 PRE-MEETING EXECUTIVE SESSION AGENDA (Author: Terrell McBrayer, communicated by e-mail of Thu, 8 Feb 2007 23:03:25 -0500 to haralsonhistory@yahoo.com - transcribed here by RF) Karen, could you and other officers meet at 6 pm, Mon? 1. The samples for the roof slate have finally come; I will be checking with the roofer soon on number needed. 2. The boxes from the DA are being moved to the Blue Room where I have had room secured. I will give priority to moving the rest of these boxes and thereby take some pressure off Jana. Good progress has been made in the archives. I went through the boxes left for sorting out, and will help finish this soon. 3. I am greatly concerned about the apparent sudden drop in the inventory of history reprints. I have not used all of the 30 copies of this reprint that I paid for. Maybe we should check the record of those sold and ask if anyone has placed any in any part of the building. 4. The LITTLE CREEK SCHOOL HOUSE project will proceed according to previous action of the Historical Society, with the distinct understanding as outlined in the approval, that the group will be totally responsible with a separate board of trustees similar to the SANFORD-WADE HOUSE. We will have separate liability coverage, with the HS assuming no legal liability; the main difference from the time the HS approved the arrangement in now one of added leadership, included myself, and some of the trustees of the SWH will cross over to help with this project also. We have a year to relocate the school house, and I will keep you informed. This will be a great addition to our cluster around the HISTORIC COURT HOUSE AND AND THE SANFORD-WADE HOUSE. 5. I will be checking soon on the needed repairs and hardware for the upstairs doors. Discuss Bylaws amendment about chattel "donations": "The Society will assume ownership of chattel goods as 'historic artifacts' only upon a majority vote of the membership. Additionally, the Seller must execute a written notarized sales contract in which the Society tenders the valuable consideration of US$1 as the sales price. To document the transaction, the contract will contain a detailed description of the chattel sold and include at least one photograph of same. Further, the Society will never agree to opine or confirm in the sales contract that the market value of such chattel exceeds $1, nor will it agree to any specific conditions regarding the future disposition of the goods. Finally, the Seller must always agree to indemnify the Society against defective title to the chattel sold, to the extent that the Seller will pay the Society no less than US$100 without proven valuation of any kind (and upon insistence of the Society, a greater market value of the goods transferred which they held at the time of transfer) in the event the sale is voided by legal action and the Society is deprived of the goods in consequence."
