(In accordance with instructions given at annual meeting of this Asso.
In May 1928 am submitting the following Constitution and By-Laws for your
consideration and if satisfactory, would earnestly urge this adoption for
the government of this Asso. s/ Wm. C. Ebersold)
This organization shall be known as: THE BROOKLYN CEMETERY ASSO.
Sec. 2
All owners of Burial space in this cemetery (located on Scranton Rd.
bounded by Wade Ave on North & Seymour Ave on South) are members in
good standing of this Asso. Provided however: That only a person
holding a deed to burial space in this cemetery issued to him or transfered
to him by original owner or purchasor shall have a voice and vote in this
Asso. The holder of a deed of this cemetery shall be considered a
member of the Asso., and the legal owner of burial space and the legal
owner of burial space designated, if his pocession of it can be reasonably
explained or upon demand of the Sec’y, he furnishes sworn affidavits of
its transfer to him through sale, inheritance, gift, or otherwise.
The Annual meetings of The Brooklyn Cemetery Asso. shall be held on the first Monday in the mo of May, at such time & place as may be designated by the Sec’y.
Sec. 2
At this meeting the Sec’y. shall submit for approval of the Trustees the report of all business conducted during past year, including financial statement up to date.
Trustees will indicate approval of same by Signature placed under the word “approved” and also under date and signature of Pres.
The Sec’y. being vested with the powers of expenditures etc. shall at this meeting make a report of major expenditures contemplated for the ensuing year other than the regular expenses.
The Pres. & Trustees shall consider all these items carefully and
guide and counsel the Sec’y on all matters pertaining to the proper conduct
of this Asso. and in the maintenance of the Cemetery grounds in a neat
and respectable condition. This and all other meetings shall be presided
over by the Pres. who when called for by a member or upon his own volition
will conduct meetings according to accepted “Roberts Rules of Procedure”
Sec. 1
The Board of Governing Officers shall consist of:
Not less than three or more than five Trustees & Pres & Sec’y
Trustees (also Vice Pres. appointed) shall at annual meeting elect one
of their number to serve for ensuing year as president, Trustees term however
shall be three years. Pres. and Trustees will than proceed to elect
or appoint by majority a person capable, of honesty and integrity to act
as Sec’y, for a term of three years.
Provided: Sec’y. may be removed from office at any time by a majority vote of The Board of Officers.
Trustees may in like manner remove any other member of Board of Officers. The Office of Treasurer shall be embodied in the office of Secy.
The Board of Officers are again cautioned to appreciate the tremendous responsibilities vested in the Sec’y. & Treas. and to select carefully their candidates for this office.
The Sec’y. shall be required to submit for inspection all records of this Asso. upon demand of a majority of the members, or upon the demand of any of the Officers.
The Sec’y. shall be bonded with some reliable Surety Co. The amount to be determined by The Board of Officers, the premium of which shall be paid out of the funds of the Asso., renewed each year & Policy shall be held from year to year by Pres.
Policy payable to: Brooklyn Cem. Asso.
Sec. 2
Members of the Board should make an effort to obtain persons to fill vacancies which may occur from time to time. A Majority vote of Members & Officers present shall elect a candidate a secret ballot may be called for by any member. Sec’y. will conduct election and assisted by two members, count same. All Officers must be notified in writing, of regular or any special meeting called, by Sec’y or by any other nine members who may wish to call a special meeting, one week before meeting. Notice of the annual meeting must be inserted in at one Cleveland Newspaper for one day, eight days in advance of meeting.
Meeting
Members or three officers shall constitute a quorum for the transaction of business at any regular or special meeting.
Sexton
A capable Sexton shall be employed by Sec’y and shall be directly responsible to Sec’y.
Provided: Sexton can also be removed for cause by a majority vote of Officers.
Officers of the Asso. shall make frequent trips to grounds to inspect same and the buildings, also equipment, fences, and other preoperty of the Asso. The attention of the Sec’y. shall be called to any part of property which may require repairs or improvement and Sec’y shall at once take matter up with Sexton. Sexton shall be employed regularly from First day of April until 31st day of October inclusive.
Sexton shall be paid by Sec’y. out of the funds of this Asso. at the rate of Sixteen dollars per week, payable each two-week period he is regularly employed (April 1st to Oct 31) In addition, Sexton shall be paid $1.50 for each interment when he is required to hire extra help. During the months Nov. Dec. Jan Feb. March Sexton shall be paid at the rate of $10.00 per month – During this period he shall keep grounds and other property in order remove snow & ice from sidewalks and from the main paths on cemetery grounds.
Sexton shall also during these months receive the allowance for extra
help required for interments.
President & Trustees: Shall be paid a salary of 50 cents per year and a like amount for each special meeting attended payable each meeting.
Secretary & Treas. Shall be paid monthly the sum of $20.00 as a salary for performing the regular duties of the office.
