Springfield Telephone Company 1906 Charter

Charter of the Springfield Telephone Co.

Recorded January 27, 1906

 

To the Governor of the Commonwealth of Pennsylvania

Sir:

In compliance with the requirements of an Act of the General Assembly of the Commonwealth, entitled "An Act to Provide for the Incorporation and Regulation of Certain Corporations" approved the 29th day of April, A. D. 1874, and the several supplements thereto, the undersigned, all of whom are citizens of Pennsylvania, having associated themselves together for the purpose hereinafter specified, and desiring that they may be incorporated, and that letters patent may issue to them and their successors according to law, do hereby certify:

1 st: The name of proposed corporation is Springfield Telephone Company.

2nd: Said corporation is formed for the purpose of constructing, maintaining, operating, and leasing telephone & telegraph lines for private use of individual firms, corporations, municipal and otherwise, for general business, for police, fire alarm, and furnishing of facitlities for communication by means of the transmission of electricities over or through wires and doing general telephone business by such means with all the rights and powers in said Acts granted.

The general route of the lines of said Company is as follows:

Beginning in the village of West Springfield Township, County of Erie, State of Pa., at a place where the Ridge Road intersects with the highway leading from Crayton to the West Springfield station on the Pittsburg Bessemer & Lake Erie Railroad; thence via HUNTLEY's corners, MERRITT's Corners, ARMSTRONG's Corners, CROUCH's Corners, and GRIFFEY's Corners in Erie County and Tracy, the village of Beaver Center, the boroughs of Conneautville and Springboro, in Crawford County, to the center of Main & Franklin Street in the borough of Albion in said County of Erie; thence from the corner of Main & Franklin Streets, in said borough of Albion, via the village of Wellsburg and Cranesville and the boroughs of Lockport and Girard, the villages of North Girard and North Springfield, all in Erie Co., and along the Lake Road to the Ohio State line, and in the State of Pennsylvania along said Ohio State line, to the Ridge Road in said Springfield township and along said Ridge Road to said village of West Springfield at the place of beginning: with connecting lines as follows:

Commencing in the borough of Girard at the public square, thence along the Ridge Road via the Borough of East Springfield and said village of West Springfield, the Middle Road at BENEDICT's Corners, and eastwardly along said Middle Road via McDONALD's Corners to the Lake Road at the farm of ARTHUR G. BRINDLE; also beginning at corner of Main and Franklin Streets in said Borough of Albion; thence via SHERMAN's Corners, said borough of East Springfield, McDONALD's Corners, and village of North Springfield to the shore of Lake Erie at the SAMUEL HOLIDAY farm; also from a point in said township of Springfield where the Center Road touches the shore of Lake Erie, thence southwardly via said Center Road, the Town House, Five Corners, and Conneaut Creek, the village of Keepville in Erie County, to the Borough of Albion at said corner of Main and Franklin Streets; also from said place of beginning in said village of West Springfield, via said Five Corners, DEVEREAUX's Corners, CROUCH's Corners and the LAW Road to said Ohio State line; also from said public square in said village of Girard, southwestwardly via SHERMAN's Corners, Conneaut Creek, the village of Cherry Hill and the Old State Road, to the Ohio State line; and from the BALDWIN School House on the said Ridge Road, southwestwardly via said Five Corners and the S. D. WARE farm to said Ohio State line. All points stated above being within the County of Erie and State of Pennsylvania, excepting when stated to be in the County of Crawford, and all of said routes being within the counties of Erie and Crawford, State of Pennsylvania, with branches extending to and connecting cities and other boroughs and villages in said counties; also telephone exchanges in the several borough and villages above mentioned and other boroughs and villages to be connected. The lines of such exchanges connecting offices, places of business, and residences with each other and with the central office.

3rd: The business of said corporation is to be transacted in the village of West Springfield, Township of Springfield, County of Erie, and State of Pennsylvania.

4th: Said corporation is to exist perpetually.

5th: The names and residences of the subscribers and the number of shares subscribed by each, as follows:

6th: The number of directors of said corporation is fixed a seven (7), and the names and residences of the directors who are chosen directors for the first year are as follows:

7th: The amount of capital stock of said corporation is $5000.00 divided into 1000 shares of the par value of $5.00 each and $800.00 being ten per centum of capital stock has been paid in cash to the Treasurer of said corporation, whose name and residence are West Springfield:

LETTERS PATENT

Springfield Telephone Company

In the name and by authority of the Commonwealth of Pennsylvania Executive Departments
To all to whom these presents shall come - Greetings

Whereas: In and by an act of the General Assembly of the Commonwealth of Pennsylvania, entitled, "An Act To Provide For The Incorporation and Regulation Of Certain Corporations" approved the 29th day April A. D. 1874 and the supplements thereto, the Governor of this Commonwealth is authorized and required to issue Letters Patent to all corporations formed under the provisions of said acts, embraced within the second class named therein.

And whereas: The stipulations and conditions in said act of the General Assembly and the supplements thereto have been fully complied with by Springfield Telephone Company.

Therefore: Know ye, that under authority of the Constitution and laws of said Commonwealth, in such case made and provided, I do by these presents, which I have caused to be made patent and sealed with the Great Seal of the State, create, erect, and incorporate the subscribers to the stock of said corporation, their associates and successors, and also those who may thereafter become subscribers or holders of the stock of the said corporation, into a body politic and corporate in deed and in law by the name chosen and herein before specified, who shall have succession perpetually and shall be invested with and have and enjoy all the powers, privileges, and franchises incident to a corporation, and be subject to all the duties, requirements, and restrictions and enjoined in and by the said Acts Of The General Assembly and all other laws of this Commonwealth.

Given under my hand and the Great Seal of the State, at the City of Harrisburg, this 22 day of December in the year of our Lord 1905. And of the Commonwealth, the 130th.
