Elgin Latin Cemetery Association |

The objective of this organization shall be the formation of an organization to establish and maintain the dignity and respect that a cemetery should have. The Association will have regular meetings as established by the Board of Directors. |
Article II -- Objective |

Members of the Association shall be those that pay the annual dues as established by the Board. |
Article III -- Members |
|
The officers of this Association shall be a President, a Vice President, a Secretary, a Treasurer, and a Board representative. If necessary, other officers may be added to the Board. These will be added by a simple majority vote by the Board. The Board will create and establish policy that will guide the Association. All decisions, save elections, will be by a majority vote of the Board.

The officers shall be citizens of Elgin or the surrounding community and shall be elected in October of the preceding year when the President is to take office. Anyone wishing to run for office must have been a member in good standing for at least three months prior to the election. (all of July, August, September). The election of Board members will be by a majority vote by the membership. The Secretary of the Board will be the coordinator of the election. Ballot mode of election will be held for officer voting. |

Section 2. Election of Officers |
|
President two years Any board member wishing to run for another board position must first submit a written resignation from his or her present office at least two months prior to the election. His or her duties will be divided amongst the other officers during the pre-election period. All records possessed by that office will be turned over to the President, and in the case of the President, will be turned over to the Vice-President. Only one member of an immediate family (parents, children, spouse) or an extended family (siblings, uncles, aunts, will be allowed to serve on the board. |

Section 3. Terms of Office (Beginning calendar year 2005) |
|
(a) President shall preside at all meetings of the Association and may appoint all necessary individuals and committees not provided for in some way by the by-laws. In the same manner, the President may dissolve these positions without approval of the Board. (b) Vice-President shall perform the duties of the President in the absence of that officer. (c) Secretary shall keep a record of all meetings held by the Association, and of the business transacted as same. The Secretary will coordinate and establish rules for the election of officers. (d) Treasurer shall keep an accurate account of all assets and funds belonging to the Association, make records as to sources from which same were received, and disburse the funds only by proper bank checks, and upon order of the Association. The Treasurer will provide accurate, timely financial reports at each Board meeting or general membership meeting. These reports will include expenditures, receipts of all funds and the specific source and date thereof. (a) Board Representative shall replace another Board member in case of an absence as directed by the President or the Vice-president in the Presidents absence. The Board Representative will also assist in the laying out of individual and family grave plots to be sold. (b) All board members will vote in any matter brought up before the Board. A Board member may abstain from voting in any matter brought before the Board in case of a conflict only if there is not a tie as a result of that abstention. (c) All Board members will participate in Association cleanups, meetings, and fundraisers. Any board member missing three of these functions in a calendar year may be subject to removal from the Board by a Board vote. (d) Financial Transactions All financial transactions will be paid for by Association check with the signatures of the President and Treasurer. The President may conduct financial transactions up to the amount of $300 without prior approval from the Board. The President will explain any expenditures to the Board at the next Board meeting.

A Board member may be removed from his/her position if a crime has been committed against the Association by the Board Member, has been convicted of a crime of Moral Turpitude, or refuses to follow the guidelines of this document. |

Membership meetings will be held on the dates and times as established by the Board. At least two meetings will be held each year with a full report by the officers at each meeting that is held. All agenda items will be approved and presented by the President unless he/she relinquishes that particular item to another Board member. Any issue brought up to a board at a meeting will be tabled for Board discussion and the Board results brought up to the next meeting. Issues brought before the Board will only be introduced by a Board Member of a member in good standing for at least two months prior to the meeting in which the issue was raised. |
Article VII Committees |

The Board will form a Nominating Committee consisting of three members that will nominate the officers for the ensuing year. The Committee will be formed two months before any election of officers. The Nominating Committee will present the candidates to be nominated to the Board at lease one month prior to the election. A Dues Committee may also be formed to continue recruiting members and to remind members of due dates. |

Article V Elgin Latin Cemetery Property |
|
The Association shall not operate its sale of real estate in such a way as to result in a profit to such Association nor to any individual belonging thereto. In the sale of any cemetery lot or any property whatsoever belonging to the Elgin Cemetery Association, the proceeds thereof shall not in any way inure to the benefit of a private individual. Lots are to be sold at the current market price by the Association, and not more than the current market price. Any person owning a plot at the cemetery may sell the plot to another person for the price that was originally paid. The Association must be informed of this sale prior to occurrence. If the owner of the plot retains possession for more than 5 years, then the cemetery plot can be sold at current market prices. Association Board members will verify the times held. No immediate family can purchase or own more than two family plots. |
